
Milan, The Giorgio Armani Foundation, set up in 2016, will play the main role in guiding the future of the famous fashion group. The foundation will propose the name of the new chief executive and also keep at least 30% Armani stake. This was confirmed by the executive committee in charge of succession after Giorgio Armani’s passing earlier this month.
The 30% stake is not just a number. It ensures that the brand always follows Armani’s original vision and principles. The foundation will act as the permanent guardian of the house that Armani built.
Giorgio Armani’s will outlines clear steps for the company’s future. His heirs must sell 15% of the shares within 18 months. The preferred buyers are luxury giants such as LVMH, EssilorLuxottica, and L’Oréal. After that, another 30% - 55% stake may be sold in the next three to five years, or the group could choose to list on the Milan stock exchange.
Control of the company is structured to remain stable. Armani’s trusted partner, Pantaleo Dell’Orco, holds 40% of the voting rights. The Foundation holds another 30%. These 70 votes are enough to pass the company's resolution. Family members hold smaller stakes, and some do not even have voting rights.
The late designer’s will also lays down certain design and creative rules. The design features of Armani, interpreted as modern, elegant, and simple, must shape future collections. The foundation and the board shall bear the responsibility of ensuring the design vision remains alive.
Executives already in leadership roles will help manage the group during this transition. The goal is to keep the company steady while moving into its next chapter.
