Ripple’s native token, XRP, could soon gain another bridge into traditional capital markets through Evernorth Holdings, an XRP-focused digital asset treasury company progressing toward a planned Nasdaq listing.
On August 27, the US Securities and Exchange Commission (SEC) declared Evernorth’s Form S-4 registration statement effective for its proposed business combination with Armada Acquisition Corp. II. Armada shareholders are scheduled to vote on the transaction on September 30. If completed, the combined company is expected to trade on Nasdaq under the ticker XRPN.
Evernorth is not positioning itself simply as a company that holds XRP. According to its SEC filing, the company intends to actively deploy capital across the XRP ecosystem through strategies designed to increase XRP per share over time.
The original transaction was designed to raise more than USD 1 billion in gross proceeds, with participants including SBI, Ripple, Pantera Capital, Kraken and GSR.
Evernorth subsequently disclosed that it had purchased or secured commitments for more than 473.27 million XRP. A single transaction in November 2025 alone involved the purchase of about 84.37 million XRP for approximately USD 214 million at an average price of USD 2.5366.
A listed XRP treasury company would allow traditional investors to gain indirect exposure to XRP through ordinary brokerage infrastructure rather than opening a crypto account or managing private keys.
That does not make XRPN equivalent to holding XRP directly. Investors would own shares in a corporation with management, operating costs, capital-market risks and potentially changing XRP-per-share exposure.
Still, the structure could broaden institutional access. Evernorth CEO Asheesh Birla said, “We set out to build an actively managed XRP treasury with the transparency and governance public markets demand.”
He added, “We plan to enter public markets as blockchain utility continues to grow, and we believe institutional finance will increasingly be built on-chain.”
Why this MattersA Nasdaq listing expands XRP accessibility into traditional capital markets, bypassing direct crypto holdings. Capital allocation into tokenized assets, credit markets, and liquidity infrastructure creates institutional activity. Equity dilution and market volatility introduce real investor risks.
The impact depends on what Evernorth does after listing. Its strategy includes participation in XRP-based infrastructure rather than simply storing tokens. If its treasury capital enters tokenized assets, credit markets, liquidity infrastructure or settlement applications, that could create additional institutional activity around XRP Ledger.
However, treasury companies also introduce risks. Their shares can trade above or below the value of the underlying crypto holdings, while issuing additional equity can dilute investors.
The listing would therefore not guarantee higher XRP prices. What it could do is give institutional investors another regulated, public-market route into the XRP economy, potentially expanding XRP’s visibility beyond crypto-native investment products.
