Bitcoin investors increasingly face two alternatives to direct cryptocurrency ownership: Bitcoin treasury companies and spot Bitcoin exchange-traded funds (ETFs). They both offer exposure via the conventional financial markets, but differences in valuation, leverage, and investment structure can influence returns.
Bitcoin treasury companies hold BTC as a strategic portfolio asset, enabling shareholders to indirectly invest in cryptocurrencies. Strategy's regulatory filing, dated October 5, 2026, revealed that the company owned approximately 848,000 BTC, which is the most for a publicly traded company.
Its acquisition strategy involves raising capital through equity and debt instruments to finance additional purchases. However, corporate stocks do not always reflect the Bitcoin price. They are also affected by financing obligations, management decisions, and investor sentiment.
Spot Bitcoin ETFs buy and store Bitcoin using a custodian and seek to replicate the Bitcoin market price, allowing investors to gain exposure without the need to manage cryptocurrency wallets.
As of October 8, 2026, the total Bitcoin held by all US-listed Bitcoin ETFs stands at 1.29 million BTC worth nearly USD 106 billion, Bitbo reports. In total, BlackRock's iShares Bitcoin Trust holds around 804,822 BTC, while Fidelity's fund stood at 180,630 BTC.
Spot ETFs typically do not employ the borrowing tactics of treasury companies and are more stable in their pricing than offerings based on underlying securities, but management costs do have an impact on returns. BlackRock's IBIT has a 0.25% per annum sponsor fee.
The most notable difference is how each investment reacts to changes in the Bitcoin price. The price of a treasury company can fluctuate from its underlying Bitcoin assets, based on market net asset value multiples (mNAV).
Median publicly traded Bitcoin treasury company mNAV: 1.22x in October; 26/56 companies traded below the mNAV of their Bitcoin holdings, CorpStacking reports. These valuation risks are further compounded by such differences. Both gains and losses that may occur during the Bitcoin rally are amplified during a corporate financing.
Spot ETFs typically offer a more straightforward investment approach, making them a more attractive option for investors who value transparency. Treasury companies can also appeal to investors who are looking to get greater exposure and possible rewards on company Bitcoin buys.
However, even if Bitcoin prices rise, equity dilution, debt obligations, and varying valuation premiums can erode returns for shareholders. Investors must, therefore, evaluate the expense ratio, the number of Bitcoins per share, corporate liabilities, and the sensitivity of past prices before choosing an investment vehicle.
Bitcoin ETFs provide a simpler way to get exposed to BTC, and the treasury companies can introduce more opportunities and financial risks. The best option depends on the investment goals, risk tolerance, and the desire to directly track Bitcoin price or to invest in corporate Bitcoin strategies.

1. What is the difference between Bitcoin treasury companies and Bitcoin ETFs?
Bitcoin treasury companies hold BTC as a corporate asset, offering indirect exposure through company shares. Spot Bitcoin ETFs hold Bitcoin through custodians and aim to track its market price more closely.
2. How much Bitcoin does Strategy hold in 2026?
According to its October 5, 2026, regulatory filing, Strategy held approximately 848,000 BTC. Its Bitcoin accumulation strategy involves using corporate financing, including equity and debt instruments, to expand its holdings.
3. Are Bitcoin ETFs safer than Bitcoin treasury companies?
Spot Bitcoin ETFs generally have fewer corporate financing and valuation risks than treasury companies. However, both remain exposed to Bitcoin's price volatility, and neither guarantees investment returns.
4. What are the main risks of investing in Bitcoin treasury companies?
Major risks include corporate debt, shareholder dilution, valuation premiums, and management decisions. These factors can cause treasury company shares to underperform Bitcoin even when BTC prices increase.
5. Which offers better Bitcoin exposure for long-term investors?
Spot Bitcoin ETFs generally provide more direct Bitcoin price exposure with transparent holdings and management fees. Treasury companies may offer amplified returns but introduce additional corporate and financial risks that investors should consider.
